I understand that by signing this Agent Agreement I become a UnitedWest Partners, LLC Independent Agent. My signature certifies my understanding and agreement with the following Terms and Conditions:

1. I have the right to refer UnitedWest Partners, LLC’s products and services to Customers and also enroll other Agents in accordance with these Terms and Conditions and until this Agreement is terminated by either party, for any reason in writing. I understand that UnitedWest Partners, LLC reserves the right to refuse the enrollment of any Agent and Customer at its sole discretion.


2. I have the right to earn commissions pursuant to the UnitedWest Partners, LLC Two-Tier Referral Plan as published in one or all of the Company’s videos, websites, materials and on Paragraph 3 (three) of this Agreement.


3. I understand will pay me 2.5% on my personal referrals and 1% on my 2nd tier of referrals. I understand that reserves the right to modify these commissions at any time and at its sole discretion. I understand that carries different loans products and services with different price structures and fees. Such products may be commissioned differently to Agents as published by and may be modified by the Company at its sole discretion on a case by case basis according to the structure of such loans and the negotiations involved.


4. I understand that is not obligated to pay me any commission just for referring customers to fill a loan application. I have the obligation to call customers who apply and help them understand qualifications, the application system, the documents requirements to obtain a loan and be available to provide help and service to customers when they needed it. I understand that these requirements may also be in compliance with laws or rules that governs earning commissions in the marketing and referral industry.


5. I understand that as an Agents I can enroll other Customers and Agents and earn referral commissions from their loans and customers loans According to the Two-Tier Referral Plan stated herein. I understand that if either a Customer or Agent enrolled by me decides to request a change of sponsorship because of my lack of availability and support, after a fair investigation, and at its sole discretion, may grant to such Customer or Agent the right to choose a different sponsor.


6. I understand and agree that double or multiple positions inserted in the two-tier structure of the Referral Plan either using entities or members of the same household for the purpose of double-dipping on the commissions are strictly prohibited. Any attempt to manipulate the Two-Tier Referral Plan is cause for termination.


7. I understand that notifies its Agents through online posting, text and email and I agree that is my responsibility to stay up to date, check email, texts and the online interfaces where posts communications and make sure that my contact information is correct and updated.


8. I agree to present the ’s products, services, and Two-Tier Referral Plan as set forth in the official Company materials and websites without any other interpretations or modifications. Any literature, website or any online system that directly or indirectly represents or leads to represent , must be approved by the company.


9. I agree not to use the logo and any trademarks or intellectual property of and not to use the name in URLs.


10. I agree to represent products and services ethically, without any claims of performance and not to make any income representations when presenting the Two-Tier Referral Plan in accordance with FTC disclosure rules.


11. I agree to treat kindly and respectfully ’s Customers, Agents, Employees, Contractors or any other person associated with and any mistreatment or inappropriate language is cause for immediate termination.


12. I agree that as a ’s Independent Agent I am an independent contractor, and not an employee, partner, legal representative, or franchisee. I agree that I will be solely responsible for paying all expenses incurred in operating my business, including but not limited to travel, food, lodging, secretarial, office, advertising, marketing, and any other expenses of any nature.


13. I UNDERSTAND THAT I SHALL NOT BE TREATED AS AN EMPLOYEE OF FOR FEDERAL OR STATE TAX PURPOSES. is not responsible for withholdings and shall not withhold or deduct from my commissions any FICA or taxes of any kind. I agree that I am solely responsible to pay federal income taxes on my earnings and state taxes where they are applicable.


14. I have carefully read and agree to comply with the ’s replicated web site Privacy Policy, Terms of Use, Disclaimer, Consent to Electronic Record and Signature and the Two-Tier Referral Plan all of which are incorporated into and made a part of these Terms and Conditions. These documents shall be collectively referred to as the “Web Site Agreement.” If I have not yet reviewed the Web Site Agreement at the time I sign this Agent Agreement, I understand that they are posted at http://creditstarfunding.com. I will review the Credit Star Web Site Agreement within five (5) days from the date on which I sign this Agreement. If I do not agree my sole recourse is to notify the Company and cancel my Independent Agent Agreement. Failure to cancel constitutes my acceptance of the ’s Web Site Agreement as stated herein.


15. I understand that I must be in good standing, and not in violation of this Agent Agreement, to be eligible for bonuses or commissions from . I understand that this Agreement may be amended at the sole discretion of , and I agree to abide by all such amendments. Notification of amendments shall be posted on ’s online group and also notified by email. Amendments shall become effective on the day of publication, but amendments shall not apply retroactively to conduct that occurred prior to the effective date of the amendment. The continuation of my business or my acceptance of bonuses or commissions after the effective date of any amendment shall constitute my acceptance of any and all amendments.


16. The term of this agreement is indefinite until canceled in writing by either party. Cancellation can be communicated via email.  If this Agreement is canceled or terminated for any reason,  I understand that I will permanently lose all rights as an Agent. I shall not be eligible to refer any Credit  Star Funding products and services, nor shall I be eligible to receive commissions, bonuses, or other income resulting from the activities of my former Agents organization. In the event of cancellation or termination, I waive all rights I have, including but not limited to property rights, to my former Agents organization and to any bonuses, commissions or other remuneration derived through the sales and other activities of my former Agents organization. I understand that reserves the right to terminate all Agents Agreements upon 30 days’ notice if the Company elects to:
    1. cease business operations;
    2. dissolve as a business entity; or
    3. terminate availability of its products and/or services via direct referral channels.


17. ’s Independent Agent Agreement, Consent to Electronic Record E-SIGN, the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001, et seq.), requires that you consent to entering into an electronic agreement with before an online version of the Agent Agreement is entered into. Please read the following information carefully. Should you enter into an online Agent Agreement with , you will not be required to submit a paper application. The entire agreement between you and will be evidenced by an electronic record. However, should you do so, the Agent Agreement will be automatically terminated. 18. I may cancel this Agent Agreement at any time, and for any reason, upon written notice to at its principal business address or via email to: officialcreditstarfunding@gmail.com


19. I may not sell or assign any rights under this Agent Agreement without the prior written consent of . Any attempt to transfer or assign this Agreement without the express written consent of renders the Agreement voidable at the option of and may result in termination of my business.


20. I understand that if I fail to comply with the terms of the Agreement, may, at its discretion, impose upon me disciplinary sanctions and withhold commission until compliance is restored. If compliance is not restored within 7 days of the violation, this Agent Agreement is terminated. If I am in breach, default or violation of this Agent Agreement at termination, I shall not be entitled to receive any further bonuses or commissions, whether or not the sales for such commissions have been completed. I agree that may deduct, withhold, set-off, or charge to any form of payment I have previously authorized, any amounts I owe or am indebted to .


21. , its parent or affiliated companies, directors, officers, shareholders, employees, assigns, and agents (collectively referred to as “affiliates”), shall not be liable for, and I release and hold harmless and its affiliates from all claims for consequential and exemplary damages for any claim or cause of action relating to this Agent Agreement. I further agree to release and hold harmless and its affiliates from all liability arising from or relating to the promotion and operation of my business and any activities related to it and agree to indemnify for any liability, damages, fines, penalties, or other awards arising from any conduct that I undertake in operating my business.


22. Any waiver by of any breach of the Agent Agreement must be in writing and signed by an authorized officer of . A waiver by of any breach of the Agent Agreement by me shall not operate or be construed as a waiver of any subsequent breach.


23. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed, and the severed provision shall be reformed only to the extent necessary to make it enforceable. The balance of the Agent Agreement shall remain in full force and effect.


24. By entering into this Agent Agreement, I agree that may amend the same (including the Terms and Conditions and the Web Site Agreement) at its sole discretion at any time. 26. This Agent Agreement will be governed by and construed in accordance with the laws of State of California without regard to principles of conflicts of laws. In the event of a dispute between myself and arising from or relating to this Agent Agreement or the rights and obligations of either party, the parties shall attempt in good faith to resolve the dispute through non-binding mediation. shall not be obligated to engage in mediation as a prerequisite to disciplinary action against an Agent. If the parties are unsuccessful in resolving their dispute through mediation, the dispute shall be settled totally and finally by arbitration in accordance to California and Federal laws, these laws include the California Arbitration Act ("CAA") (Code of Civil Procedure section 1280 et seq.) and the Federal Arbitration Act ("FAA") (9 U.S.C. sections 1-14). Notwithstanding the foregoing, either party may bring an action before the courts seeking a restraining order, temporary or permanent injunction, or other equitable relief to protect its intellectual property rights, including but not limited to Customer and/or Agent lists as well as other trade secrets, trademarks, trade names, patents, and copyrights. The parties may also seek judicial enforcement of an arbitration award. In all actions before the courts, the parties consent to exclusive jurisdiction and venue before the court of San Diego County, California.


27. This Agent Agreement in its current form and as amended by at its discretion, constitutes the entire contract between and myself. Any promises, representations, offers, or other communications not expressly set forth in this Agent Agreement are of no force or effect.


28.
